What requirement had to be fulfilled

Joint-stock companies had until July 1, 2026 to submit Amendments to the statutes of the register of companies, excluding information on share form. Henceforth, such information is not specified in the articles of association.

What to check after the deadline

The board must make sure that the decision has been properly made, the statute the new version has been signed and the documents have actually been submitted, not just prepared. The decision of UR should also be checked and whether or not corrections requested.

If the documents are not submitted

  • check the wording of the statutes in force;
  • prepare the necessary decision and the new version;
  • check the right of representation and signature;
  • submit documents to the Enterprise Register;
  • keep the decision and UR response in the company file.

Verification of related documents

The amendment of the articles of association is a good moment to compare the register of shareholders, central securities depository, internal decision and actual mutual compliance of data. If others have changed at the same time public data, it must be assessed whether they cannot be registered separately.

Important

A missed deadline does not cancel the obligation. The specific action and the set of documents should be checked according to the society for the situation.

Board responsibility and evidence

The board must be able to demonstrate that the obligation has been assessed and fulfilled. In the company's file, the convening documents of the meeting, the accepted ones, are kept decision, wording of the statutes, proof of submission and Decision of the Register of Companies. If UR requested the elimination of deficiencies, the new term and responsible person should be monitored.

When additional testing is needed

If the company has a complex shareholder structure, dematerialized shares or recent changes in ownership, the amendment of the statutes should not be viewed in isolation. Must be compared shareholder register data, information of beneficial owners, rights of representation and other data registered by UR. Inconsistencies it is better to organize them in a single package of documents.
